Terms of Service
Arantic Digital GmbH – General Terms and Conditions
Last updated: October 4, 2026
1. Scope of Application
1.1. These General Terms and Conditions ("Terms") apply to all contracts, deliveries, and other services between Arantic Digital GmbH, Johann-G.-Gutenberg-Str.7, 82140 Olching, Germany ("Arantic Digital," "we," "us") and its customers ("Customer," "you"), unless otherwise agreed in writing.
1.2. Deviating terms and conditions of the Customer shall not become part of the contract unless Arantic Digital GmbH expressly agrees to their validity in writing.
1.3. Consumer Notice: BugPin Enterprise licenses may be purchased by businesses and consumers. If you are a consumer within the meaning of § 13 BGB (German Civil Code), your mandatory statutory rights remain unaffected by these Terms and any accompanying software license terms. A consumer is any natural person entering into a legal transaction for purposes that are predominantly outside their trade, business, or profession.
1.4. For purchases through Paddle, Paddle is the reseller and merchant of record. These Terms govern pricing, subscription management, refunds, and agreed support in your relationship with Arantic Digital as the software supplier. Your purchase and payment relationship with Paddle is governed by the Paddle Buyer Terms presented during checkout. These Terms do not replace those buyer terms or limit mandatory consumer rights.
1.5. The BugPin Enterprise License Agreement (EULA) governs use of proprietary Enterprise software, including the license grant, evaluation, restrictions, installation responsibilities, customer content, software updates, effects of license termination, warranty, and liability. These Terms cover the commercial subscription and general contractual matters. The general IT-service provisions in Sections 6, 7, and 9 do not replace the Enterprise software provisions in the EULA.
2. Services and Contractual Obligations
2.1 General IT Services
Arantic Digital provides IT services for optimizing and automating the processing and use of business information. This includes:
- Consulting, development, and integration of customized software solutions, IT processes, IT networks, and server systems
- Design, implementation, and support of artificial intelligence solutions (e.g., for data analysis, automation, decision support, or language processing)
- Planning, provisioning, migration, and operation of cloud infrastructures and services (e.g., for hosting, data storage, platform, or software deployment)
- Sale and rental of IT equipment and related infrastructure components (e.g., servers, network technology, storage solutions)
- Conducting training sessions
- Ongoing support to ensure the efficiency, security, and currency of deployed systems
2.2 BugPin Self-Hosted Software
BugPin is a self-hosted visual bug reporting and tracking platform. Enterprise product features and included support are described in your plan, order, and product documentation. Software licensing, installation and operation, license-key use, and customer content are governed by the BugPin Enterprise License Agreement.
2.3 Scope of Services
The exact scope of services is defined in the respective contract or order confirmation. Arantic Digital reserves the right to provide partial services where reasonable for the Customer.
2.4 Customer Obligations
The Customer undertakes to provide all necessary information, data, and resources completely, correctly, and in a timely manner as required for contract fulfillment. Delays or additional effort due to insufficient cooperation by the Customer shall be borne by the Customer.
2.5 Changes to Scope
Changes to the agreed project scope require a written agreement. Such changes may result in additional costs and/or extended delivery times.
3. Pricing and Payment Terms
3.1 Pricing
Remuneration for services rendered is based on the prices set out in the contract or order confirmation. Unless expressly agreed otherwise, billing is based on time spent (hourly rates) or as a flat fee.
3.2 BugPin Enterprise Subscription Pricing
For BugPin Enterprise licenses:
a) Subscription Plans
- Enterprise subscriptions are billed in advance according to the billing period and project quantity shown during checkout
- The currency, applicable taxes, recurring total, and billing period are shown before you complete your purchase
b) Price Changes
- Any proposed price change for an existing subscription will be communicated at least 30 days before it is intended to take effect
- Price changes do not affect the current paid subscription period
- You may cancel before a change takes effect; any consent required by applicable law must be obtained
c) Purchases through Paddle
- Paddle acts as the reseller and merchant of record for Enterprise purchases made through our online checkout
- Paddle handles payment collection, applicable transaction taxes, invoices, and payment refunds
- Your transaction is subject to the Paddle Buyer Terms linked in Section 1.4 and presented during checkout
- Arantic Digital supplies the software, license keys, and support included in your plan
3.3 VAT and Other Transaction Taxes
Enterprise prices on our pricing page marked “Excl. VAT / sales tax” are net prices. This applies to both EUR and USD prices. Applicable VAT, sales tax, GST, or similar transaction taxes are calculated during checkout based on your billing location, customer status, and applicable law. Paddle shows the applicable tax and the final total payable before you confirm your purchase.
You must provide accurate billing information. A valid business tax identification number may qualify a purchase for reverse-charge treatment or a tax exemption where legally applicable, subject to Paddle's validation. The selected currency and the “Enterprise” edition name do not determine your tax status.
3.4 Payment Terms
For general IT services: Payments are due without deduction within 14 days of invoicing. Discounts (Skonto) are only granted if expressly agreed.
For BugPin Enterprise subscriptions: The subscription payment and license-delivery provisions in Section 4.1 apply.
3.5 Late Payment
For payments owed directly to Arantic Digital, statutory default interest applies under § 288 BGB: generally 5 percentage points above the base rate for consumers, and 9 percentage points above the base rate for payment claims arising from transactions in which no consumer is involved. Further damages may be claimed where permitted by law. Payments owed to Paddle are governed by the Paddle Buyer Terms.
3.6 Additional Costs
Additional costs, such as travel and material costs, will be invoiced separately to the Customer unless expressly included in the offer or contract.
4. BugPin Enterprise Subscription Terms
This section applies to paid licenses for the self-hosted Enterprise Edition.
4.1 Subscription Period and Payment
Subscriptions run for the billing period shown during checkout. Payment is due in advance for each subscription period. The subscription begins on the date stated in your order confirmation, and the license is issued following successful payment. Software usage rights and the effects of license expiration are governed by the EULA.
4.2 Automatic Renewal
- Subscriptions renew automatically for the billing period shown during checkout unless canceled before renewal
- You may cancel at any time with effect at the end of the current paid billing period, without a one-month advance notice requirement
- Mandatory statutory cancellation and termination rights remain unaffected
4.3 Cancellation
You may cancel your subscription at any time through:
- The “Manage subscription” button in your license portal
- Paddle's subscription management link in your purchase or subscription email
- Email to [email protected]
Cancellation stops future renewals. The effects on software usage and content in your installation are governed by the EULA.
4.4 Refunds
- We offer a 14-day money-back guarantee for new paid subscriptions, measured from the initial purchase date. Contact us through our contact form or at [email protected] within that period for a full refund, no questions asked
- For purchases through Paddle, we coordinate approved refunds with Paddle as the merchant of record
- Outside this guarantee, subscription fees are generally non-refundable except where required by law or the applicable Paddle Buyer Terms
- Consumers retain their statutory right of withdrawal (see Section 5)
4.5 Software Updates and Changes
Software updates and changes to Enterprise functionality are governed by the EULA.
5. Right of Withdrawal for Consumers
This section applies only to consumers (§ 13 BGB).
For purchases from Paddle, the applicable withdrawal information and refund procedure are provided in the Paddle Buyer Terms and at checkout. You may contact Paddle directly at paddle.net. If you contact Arantic Digital about a Paddle purchase, we will assist and forward your request to Paddle. The withdrawal policy below applies to contracts concluded directly with Arantic Digital. Mandatory consumer rights and our separate 14-day money-back guarantee remain unaffected.
5.1 Withdrawal Policy
Right of Withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period expires 14 days from the day of the conclusion of the contract.
To exercise the right of withdrawal, you must inform us:
Arantic Digital GmbH
Johann-G.-Gutenberg-Str. 7
82140 Olching, Germany
Email: [email protected]
of your decision to withdraw from this contract by an unequivocal statement (e.g., a letter sent by post or email).
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of Withdrawal
If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw.
We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
5.2 Exceptions to Withdrawal Right
The right of withdrawal does not apply to:
- Digital content not supplied on a tangible medium, only where all statutory conditions are met, including commencement of performance, your prior express consent to begin before the withdrawal period ends, your acknowledgment of the resulting loss of the right of withdrawal, and the required contract confirmation (§ 356(5) BGB)
- Services fully performed, only where all statutory conditions for expiry of the right of withdrawal are met (§ 356(4) BGB)
Purchasing, downloading, or activating a license does not by itself establish that these conditions have been met.
6. Liability and Warranty for General IT Services
This section applies to separately agreed general IT services. Warranty and liability for BugPin Enterprise software are governed by the EULA.
6.1 Limitation of Liability
Arantic Digital is liable only for intent and gross negligence. For slight negligence, Arantic Digital is liable only for breaches of material contractual obligations (cardinal obligations). In such cases, liability is limited to the typically foreseeable damage.
6.2 Exceptions
The limitations in this section do not exclude or limit liability for intent or gross negligence, injury to life, body, or health, or liability that cannot be excluded under applicable law, including mandatory consumer rights and product liability.
6.3 Indirect Damages
Liability for lost profits, production losses, data loss, or other indirect damages is excluded to the extent permitted by law.
6.4 Data Backup
The Customer is responsible for regular backup of their data. Arantic Digital is not liable for data loss attributable to the Customer's failure to back up data.
6.5 Warranty
The Customer's warranty claims are initially limited to subsequent performance (repair or replacement). If subsequent performance fails, the Customer may reduce the price or withdraw from the contract.
6.6 Third-Party Software
Arantic Digital is not liable for infringement of third-party intellectual property rights caused by software not developed by Arantic Digital.
6.7 Subcontractors
Arantic Digital's responsibility for subcontractors and other persons engaged in performing its contractual obligations is governed by applicable law, subject to the lawful limitations and exceptions in this section.
7. Intellectual Property and Usage Rights
BugPin Enterprise software licensing, evaluation, restrictions, and the treatment of Community Edition and third-party components are governed by the EULA. The following provisions apply to separately agreed general IT services.
7.1 Ownership
Arantic Digital remains the owner of all copyrights, usage rights, and other intellectual property rights in the software and documentation created under the contract.
7.2 Separately Developed Software
Usage rights for separately developed software are defined in the relevant contract.
7.3 Confidentiality
The Customer undertakes to treat trade secrets and confidential information of Arantic Digital that become known in the course of cooperation as strictly confidential.
8. Data Protection and Data Security
8.1. Arantic Digital undertakes to comply with data protection regulations, in particular the General Data Protection Regulation (GDPR).
8.2. The Customer's personal data is processed only to the extent necessary for contract performance. Further processing only occurs with express consent. The Customer has the right to object to the processing of their personal data at any time, to the extent permitted by law.
8.3. Arantic Digital implements appropriate technical and organizational measures to ensure the security of processed data. For separately agreed general IT services, the Customer is also obligated to take appropriate measures to secure and protect their data.
8.4. For details on data processing, please refer to our Privacy Policy.
8.5. Responsibilities for content and operation of a self-hosted BugPin installation are governed by the EULA. Our processing of customer portal, billing, licensing, and support data is described in the Privacy Policy.
9. Contract Duration and Termination
9.1 General Contracts
The contract term and notice periods are set out in the respective contract. If no fixed contract term is agreed, either party may terminate the contract with three months' notice to the end of the month.
Maintenance and support obligations end upon contract termination unless a separate agreement is made.
If Arantic Digital has booked services from third-party providers (e.g., for cloud, licensing, or hosting services) with a fixed term for contract fulfillment, the term of the relevant service component automatically extends until the end of the minimum contractual term with the third-party provider. The Customer is obligated to bear the resulting costs for the entire term if these were expressly named in the offer or contract or are clearly evident from the nature of the service (e.g., annual license).
9.2 BugPin Enterprise Subscriptions
For BugPin Enterprise subscriptions, the renewal and cancellation provisions in Section 4 apply instead of the general notice periods in Section 9.1. Termination of the Enterprise software license and its effects are governed by the EULA.
9.3 Termination for Cause
For general IT-service contracts, the right to extraordinary termination for cause remains unaffected. A cause exists in particular if one of the parties materially breaches their contractual obligations and fails to remedy this breach within a reasonable period after written notice.
9.4 Effects of Termination for General IT Services
For general IT-service contracts, the return or deletion of materials is governed by the relevant agreement and applicable law.
10. Dispute Resolution
10.1 Consumer Arbitration
We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).
11. Jurisdiction and Applicable Law
11.1 Jurisdiction
For all disputes arising from or in connection with this contract, the courts in Munich have jurisdiction if the Customer is a merchant, a legal entity under public law, or a special fund under public law. This jurisdiction agreement applies only if the Customer is not a consumer.
For consumers: Legal actions may be brought in Munich or at the consumer's place of residence, at the consumer's choice.
11.2 Applicable Law
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For consumers: This choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence.
12. Miscellaneous Provisions
12.1 Form of Communications
Unless a mandatory statutory form requirement applies, contractual notices and agreements may be made in text form, including email (§ 126b BGB). Individually agreed terms and mandatory statutory rights remain unaffected.
12.2 Severability
Should individual provisions of these Terms be or become invalid, this shall not affect the validity of the remaining provisions. The parties undertake to replace the invalid provision with a provision that most closely approximates the economic purpose of the invalid provision.
12.3 Assignment
The Customer may not assign rights under this contract without our prior written consent.
